Terms of use
The terms that govern your use of this website.
1. About these Terms
These Terms of Use (“Terms”) govern your access to and use of www.elevoconsult.com (the “Website”), operated by Elevo Consulting Ltd (“Elevo”, “we”, “us” or “our”), a private limited company registered in Nigeria under RC 8605968. Our business office is Waterfront Plaza (Vurin Suite), Plot 270 Ozumba Mbadiwe Avenue, Victoria Island, Lagos, Nigeria.
By accessing or using the Website, you agree to these Terms. If you do not agree, you should stop using the Website. These Terms apply to the Website only. Any advisory engagement, proposal, consulting assignment or other professional service will be governed by a separate written agreement where applicable.
2. Purpose of the Website
The Website provides general information about Elevo, its people, advisory practices, sectors of interest, experience and ways to contact the firm. It also allows visitors to submit a general enquiry, a request for proposal or an application to join the advisory network.
The Website is intended primarily for organisations, boards, executives, public institutions, professionals and prospective consultants. It is not an online client portal and does not, by itself, create an account or access entitlement to any Elevo system or service.
3. Website information is not professional advice
The information on the Website is provided for general information and discussion. It is not legal, financial, investment, accounting, tax, regulatory, technical or other professional advice, and it is not tailored to the circumstances of any particular visitor or organisation. You should obtain independent professional advice before acting or refraining from acting on information found on the Website.
Although we take reasonable care when preparing Website content, it may be incomplete, condensed, out of date or unsuitable for a particular purpose. It should not be treated as a substitute for current law, regulatory requirements, an engagement-specific assessment or advice based on complete facts.
4. No advisory relationship or offer is created
Viewing the Website, contacting Elevo, submitting an enquiry or sending a request for proposal does not create a client, adviser, fiduciary, agency, partnership, employment or other professional relationship. Elevo is not appointed to act for you unless and until the relevant parties enter into a written engagement agreement or other written arrangement that clearly establishes the scope and terms of the relationship.
Nothing on the Website constitutes an offer to provide services, a commitment to accept an assignment, an investment offer, a solicitation or a representation that Elevo is licensed or authorised to provide a regulated service in every jurisdiction. Any appointment remains subject to scope, availability, conflict checks, due diligence, internal approval and agreed commercial terms.
5. Leadership biographies and experience statements
Biographies and experience statements on the Website describe the professional backgrounds and individual career records of Elevo’s principals and advisers. Unless a particular engagement is expressly identified as work delivered by Elevo, a reference to an organisation, institution, client, regulator, employer or project in a person’s biography is not a representation that Elevo itself performed work for, was appointed by, or is endorsed by that organisation or institution.
References to third-party organisations, professional bodies, universities, regulators, companies or public institutions are for factual or descriptive purposes. They do not imply sponsorship, partnership, approval or endorsement unless we expressly say so.
6. Permitted use
You may access and view the Website for lawful, personal or internal business purposes. You may print or download a reasonable extract for internal reference, provided that you retain all copyright, trade mark and other proprietary notices and do not alter the material or present it as your own.
You must not:
- Use the Website in breach of any applicable law, regulation, court order or third-party right.
- Attempt to gain unauthorised access to the Website, its servers, systems, accounts or data, or interfere with its security or operation.
- Introduce malware, malicious code, harmful material or automated activity intended to disrupt the Website or its users.
- Scrape, harvest, copy or systematically extract Website content or personal data by automated means without our prior written permission, except where applicable law expressly permits it.
- Use the Website or its content to impersonate another person, mislead others, publish unlawful material or send spam or unsolicited promotions.
- Remove or obscure copyright, trade mark or other proprietary notices, or reproduce substantial parts of the Website for commercial redistribution without permission.
7. Intellectual property
Unless otherwise stated, the Website and its content, including text, graphics, design, logos, layouts, photographs, downloads and other material, are owned by Elevo or used under licence and are protected by applicable intellectual property laws. The name “Elevo”, the Elevo logo and related brand elements may not be used without prior written permission.
These Terms do not transfer ownership of intellectual property to you. Except for the limited viewing and internal-reference permission above, you may not copy, modify, publish, distribute, sell, license, create derivative works from or commercially exploit Website content without prior written consent or another valid legal right.
8. Enquiries, proposals and advisory network applications
When you submit information through a Website form or send material to one of our published email addresses, you confirm that the information is accurate to the best of your knowledge, that you have authority to submit it, and that doing so does not breach another person’s rights or a confidentiality obligation.
An enquiry or request for proposal is an invitation for Elevo to consider the opportunity. It is not an offer accepted by Elevo and does not bind Elevo to respond, prepare a proposal, reserve capacity or accept an engagement. Any appointment is subject to a separate written agreement.
For your protection, do not send trade secrets, highly confidential business information, privileged material, sensitive personal data or documents containing personal data about third parties through a Website form or ordinary email unless Elevo has first agreed an appropriate secure channel and confidentiality arrangements. A submission does not create a duty of confidentiality. Confidentiality obligations arise only where agreed in a separate written agreement or otherwise imposed by law.
Personal data submitted through the Website is handled in accordance with our Privacy Notice. Advisory network applications should be sent to careers@elevoconsult.com, following the application instructions on the Website.
9. Third-party websites and services
The Website may contain links to websites, platforms or services operated by third parties. These links are provided for convenience or information. Elevo does not control and is not responsible for the content, availability, security, privacy practices or terms of third-party websites. Accessing a third-party website is at your own risk and subject to that provider’s terms and notices.
10. Availability, accuracy and disclaimers
We may update, suspend, withdraw or change any part of the Website without notice. We do not guarantee that the Website will always be available, uninterrupted, secure, error-free or compatible with every device or browser. We may carry out maintenance, apply security measures or restrict access where reasonably necessary.
To the fullest extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis. We exclude warranties, representations or conditions that may lawfully be excluded, whether express, implied or statutory, including implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
11. Limitation of liability
To the fullest extent permitted by applicable law, Elevo will not be liable for loss of profits, revenue, business, opportunity, goodwill, anticipated savings, data or other indirect, special, incidental, punitive or consequential loss arising from or in connection with your access to or use of the Website, your inability to use it, or your reliance on Website content.
To the fullest extent permitted by law, Elevo will not be liable for loss or damage caused by events outside our reasonable control, third-party websites or services, internet or telecommunications failures, malicious attacks, or your failure to maintain appropriate device security. Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for fraud or fraudulent misrepresentation where applicable.
If you enter into a separate engagement agreement with Elevo, the liability provisions in that agreement govern the relevant professional services to the extent stated in that agreement.
12. Your responsibility for misuse
You are responsible for losses, claims, liabilities and reasonable costs that arise directly from your unlawful use of the Website, your material breach of these Terms, or your infringement of another person’s rights, to the extent permitted by law. This clause does not require you to indemnify Elevo for loss caused by Elevo’s own negligence, fraud or wilful misconduct where liability cannot lawfully be excluded.
13. Privacy and security
Our collection and use of personal data through the Website is explained in the Privacy Notice and Cookie Notice, which form part of the information governing your interaction with the Website. You are responsible for using a secure device and connection and for ensuring that information you submit is appropriate for the channel used.
14. Suspension or restriction
We may suspend, restrict or terminate access to the Website, or remove content, where we reasonably consider it necessary for security, maintenance, legal compliance, protection of our rights or the rights of others, or to address misuse. We will seek to act proportionately in the circumstances.
15. Changes to these Terms
We may revise these Terms from time to time. The revised Terms will be posted on the Website with an updated “Last updated” date. Changes take effect when posted unless a later effective date is stated. Your continued use of the Website after updated Terms are posted indicates acceptance of the revised Terms, to the extent permitted by law.
16. Governing law and disputes
These Terms and any non-contractual obligations arising from or connected with them are governed by the laws of the Federal Republic of Nigeria. The parties should first attempt to resolve a dispute through good-faith discussions. If it is not resolved, either party may refer the matter to a court of competent jurisdiction in Nigeria. Nothing in this clause limits the jurisdiction or powers of a regulator or court where that jurisdiction or power cannot lawfully be excluded.
17. General
- If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in effect to the extent they can operate lawfully.
- A failure or delay in exercising a right under these Terms does not waive that right.
- These Terms do not create a partnership, joint venture, employment, agency or fiduciary relationship between you and Elevo.
- These Terms, together with the Privacy Notice and Cookie Notice, govern use of the Website. A separate signed agreement governs any advisory engagement and prevails to the extent of any inconsistency concerning that engagement.
